By accessing our website at neuralin.live or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree, you should not use our website or engage our services. Use of this website or engagement of services is limited to individuals and organisations with full legal capacity to enter binding agreements under Singapore law. Users must be at least 18 years of age.

Neuralith provides AI implementation services including: AI Observability and Monitoring Setup; Graph Neural Network Solutions; and Enterprise AI Platform Selection and Setup. Each engagement is governed by a separate statement of work or engagement letter specifying the scope, deliverables, timeline, and fee for that specific project. These Terms and Conditions apply to all engagements unless superseded by express written agreement.

Services are available to organisations operating in Singapore and internationally, subject to applicable export control laws. We reserve the right to decline to engage with any enquiry or organisation at our discretion.

5. Intellectual Property

All intellectual property rights in content, methodologies, frameworks, and tools developed by Neuralith prior to or independently of a specific engagement remain the exclusive property of Neuralith.

Deliverables produced specifically for you under a service engagement will be governed by the intellectual property terms set out in the applicable engagement letter. In the absence of express agreement, a non-exclusive, non-transferable licence to use deliverables for internal business purposes is granted upon full payment of the applicable fee.

You may not reproduce, distribute, or commercially exploit Neuralith's proprietary methodologies or frameworks without express written permission.

6. Payment Terms

Service fees are as stated in the applicable engagement letter or statement of work, denominated in Singapore Dollars (SGD). Payment terms are specified per engagement. Standard terms are 50% of the engagement fee due upon commencement, with the remainder due upon delivery of agreed final deliverables.

Late payments may incur interest at a rate of 1.5% per month on the outstanding amount. We reserve the right to suspend delivery of services where payments are materially overdue. All fees are exclusive of GST, which will be applied where applicable under Singapore law.

7. Confidentiality

We treat all information you share with us in the course of an engagement as confidential. We will not disclose client information to third parties except as required to deliver the agreed services, as required by law, or with your express consent. This obligation of confidentiality survives the termination of any engagement.

Where a formal mutual non-disclosure agreement is required, this will be signed prior to disclosure of sensitive information. For standard enquiries, this policy governs our handling of your information.

8. Disclaimers

Our services are provided with reasonable care and skill. However, AI implementation outcomes depend on many factors outside our control, including the quality and completeness of data provided, changes in model behaviour over time, and third-party infrastructure performance.

Our website is provided "as is" without warranties of any kind. We do not warrant that the website will be uninterrupted, error-free, or free of viruses. Information on this website is for general informational purposes and should not be relied upon as professional advice without engaging us directly.

9. Limitation of Liability

To the maximum extent permitted under Singapore law, Neuralith's aggregate liability in connection with any engagement or use of this website shall not exceed the total fees paid by the client under the relevant engagement in the twelve months preceding the claim.

We will not be liable for: indirect, incidental, or consequential losses; loss of profit or revenue; loss of data; or business interruption, even if advised of the possibility of such losses.

Nothing in these terms limits liability for fraud, wilful misconduct, or any liability that cannot be limited under applicable law.

10. Indemnification

You agree to indemnify Neuralith against any claims, losses, or expenses (including reasonable legal costs) arising from your breach of these Terms and Conditions, your use of our services contrary to the agreed scope, or any third-party claims arising from data you provided to us for use in an engagement.

11. Termination

Either party may terminate a service engagement by written notice if the other party materially breaches its obligations and fails to remedy the breach within 14 days of written notice. Neuralith may also terminate this agreement immediately if you engage in conduct that is unlawful or damaging to our reputation.

Upon termination, you remain obligated to pay for all work completed to the date of termination. Provisions relating to intellectual property, confidentiality, limitation of liability, and governing law survive termination.

12. Dispute Resolution

These Terms and Conditions are governed by the laws of Singapore. In the event of a dispute, both parties agree to attempt resolution through good faith negotiation before initiating formal proceedings. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Singapore.

13. General Provisions

These Terms and Conditions, together with any applicable engagement letter, constitute the entire agreement between us with respect to the subject matter herein and supersede all prior agreements and understandings. If any provision is found to be invalid or unenforceable, the remaining provisions continue in full force. Failure to enforce any provision does not constitute a waiver of the right to enforce it in future. You may not assign your rights or obligations without our prior written consent.

14. Changes to Terms

We may update these Terms and Conditions from time to time. The updated version will be posted on this page with a revised effective date. Your continued use of our website or services after the effective date constitutes acceptance of the updated terms. Material changes affecting active engagements will be communicated directly.
